General Terms and Conditions of Sale – Aptenys (by Usarea)

Article 1 – Purpose and Scope

These General Terms and Conditions of Sale (hereinafter the “GTC”) govern the sale of digital document templates (hereinafter the “Templates”) and, where applicable, bundles (sets of Templates) offered on the website www.aptenys.com (hereinafter the “Website”) by Usarea, operating under the trademark Aptenys (hereinafter the “Publisher”).

These GTC apply to all orders placed by:

  • a business customer (“Business Customer”) acting within the scope of their professional activity, or

  • a consumer customer (“Consumer Customer”) within the meaning of the French Consumer Code.

Any order implies full and unconditional acceptance of these GTC.

Article 2 – Pre-contractual Information

In accordance with Articles L.221-5 et seq. of the French Consumer Code (for Consumer Customers), the essential characteristics, price, payment terms, delivery and execution conditions, as well as the existence of the right of withdrawal (and its exceptions), are presented on the product page and/or during the ordering process. These GTC are permanently accessible on the Website.

Article 3 – Definitions

Template: digital document template in .docx, .xlsx, .ppt, and/or .pdf format.
Bundle: set of several Templates sold together.
License: internal usage right granted to the Customer, as defined in Article 11.
Onboarding session: short session (e.g. 15 minutes) explaining how to use the Template, without personalized regulatory advice or exhaustive document review.

Article 4 – Products and Availability

Templates and bundles are described on their product pages. Presentation visuals are contractually binding and reflect the actual content. The Publisher reserves the right to modify the offer without affecting already placed orders.

Article 5 – Pricing and Taxes

Prices are shown in euros, excluding VAT (HT). Applicable VAT is automatically calculated based on the Customer’s location and status via Shopify/Stripe Tax (OSS scheme where applicable).

EU Business Customers may provide a valid intra-community VAT number to benefit from the appropriate tax treatment. The applicable price is the one in force at the time of order.

Invoices are generated and sent by email.

Orders placed from outside the European Union may be subject to local taxes or customs duties, payable by the Customer.

Article 6 – Ordering Process

Orders are placed online via the shopping cart and require:

  1. Acceptance of the GTC

  2. Review of the order summary

  3. Payment validation

The Customer is responsible for the accuracy of the information provided.

Article 7 – Payment

Payment is due immediately via credit card through Shopify Payments or Stripe (PCI-DSS certified providers).

If payment is refused, the order is automatically cancelled. The Publisher never has access to the Customer’s banking details.

Article 8 – Delivery of Digital Content

Delivery is made electronically via secure download from:

  • the order confirmation page, or

  • the customer account, or

  • a download link sent by email.

No physical delivery is provided.

The content is deemed delivered once the Customer is able to access, download, or store it.

In case of download issues, corrupted file, or invalid link, the Customer must contact support@usarea.fr within 7 days of purchase.

Article 9 – Right of Withdrawal

Article 9.1 – Principle (Consumer Customers)

Consumer Customers benefit from a 14-day withdrawal period in accordance with Article L.221-18 of the French Consumer Code.

Article 9.2 – Exception for Digital Content

In accordance with Article L.221-28 (1°), the right of withdrawal does not apply to digital content not supplied on a tangible medium where performance begins immediately after purchase, with the consumer’s prior express consent and waiver of the right of withdrawal.

By validating the order, the Consumer Customer:

  • expressly acknowledges that download begins immediately after payment

  • expressly agrees to waive the right of withdrawal

As a result, no refund can be issued after order confirmation and access to the download link.

Article 9.3 – No Refund (Business Customers)

For Business Customers, orders are final and non-refundable once the digital content has been delivered and matches the product description, except in cases of defective or incomplete delivery.

Article 10 – Legal Guarantees (Consumer Customers)

The Publisher remains liable for legal guarantees of conformity and hidden defects under applicable law.

Article 10.1 – Legal Guarantee of Conformity

The digital content must comply with expected use and agreed characteristics. The Publisher is responsible for non-conformities existing at the time of delivery and for updates provided during the agreed period.

The Consumer may request free correction, a price reduction, or contract termination.

These guarantees cover only the technical accessibility and proper functioning of the delivered file and do not cover regulatory compliance of the Customer’s medical device or suitability for specific use.

Article 10.2 – Hidden Defects

The Consumer also benefits from the warranty against hidden defects for 2 years from discovery.

(Business Customers are subject to contractual liability rules set out in Article 13.)

Article 11 – Usage License

Purchase grants a non-exclusive, non-transferable, non-assignable internal use license to the purchasing entity only.

Strictly prohibited:

  • resale

  • distribution

  • sharing

  • lending

  • sublicensing

  • publication (even partial or modified), including to third parties (subsidiaries, partners, contractors, consultants, etc.) without prior written consent

The Customer remains responsible for adapting the Template and ensuring final regulatory compliance.

Article 12 – Onboarding Session

When included, onboarding sessions are limited to explaining Template usage. They do not include regulatory advice, compliance validation, or custom drafting.

Article 13 – Liability

Templates are methodological tools and do not guarantee regulatory compliance on their own.

The Publisher is not liable for misuse, misinterpretation, lack of adaptation, or failure to integrate the Template into the Customer’s quality system.

For Business Customers, liability is limited to the order amount and excludes indirect damages.

Nothing excludes liability in case of gross negligence or willful misconduct.

Article 14 – Updates

Minor updates are included for 12 months after purchase. Major updates may be offered at a preferential rate. Customers are informed by email.

Article 15 – Intellectual Property

Templates and trademarks (including Aptenys) are protected by intellectual property law. Any unauthorized reproduction or distribution is prohibited.

Article 16 – Personal Data

Data processing is governed by the Privacy Policy (GDPR). Main providers include Shopify, Stripe/Shopify Payments, FetchApp, and Brevo.

Responses are typically provided within 5 business days.

Complaints must be submitted within 30 days of purchase.

Article 18 – Force Majeure and Security

Neither party is liable for failure due to force majeure. Appropriate security measures are implemented for digital services.

Article 19 – Commercial References (Business Customers)

Unless otherwise opposed, the Publisher may use the Customer’s name and logo as commercial references.

Article 20 – Consumer Mediation

Consumer Customers may refer disputes to the appointed mediator:

Article 21 – Governing Law and Jurisdiction

French law applies.

Consumer Customers may bring claims before courts of their place of residence.

Business Customers: exclusive jurisdiction of the Lille Commercial Court.

Article 22 – Proof and Archiving

Digital records (orders, invoices, exchanges) constitute proof between parties.

Article 23 – Changes to the GTC

The Publisher may update the GTC at any time. Applicable GTC are those in force at the time of order.
